Conflicting web servers

Hi,

I have a Win2K server, co-lo'd with two IP addresses on the same NIC card:
204.nnn.nnn.73
204.nnn.nnn.74
I have all my websites configured to use the .73 IP
I have a mail server that is configured to use the .74 IP. It has it's own web server interface for doing web mail.
The problem is, I get "Address already in use" messages from either IIS or the mail server if I try to start one while the other is already running.
I bought 2 IP addresses so I specifically wouldn't have this problem or have to use special ports.
FYI, this server is an IBM Netfinity 4000R rackmount, with dual NICs. The 2nd NIC is disabled, so I have both IPs on the 1st NIC. I had this same Win2K and mail server configuration running just fine on another computer that I replaced with this new server.
Any ideas why the web servers are running into each other?
Is this a NIC card issue?

Please help.
